1. Agreement to Terms
By accessing or using the website at digitasomedia.com ("Site") or engaging Digitaso Media for any of its services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you may not use the Site or our services.
2. Services
Digitaso Media provides digital marketing services including but not limited to: search engine optimisation (SEO), pay-per-click advertising, social media management, content marketing, web design and development, marketing analytics, brand building, and conversion rate optimisation.
Specific terms for any engagement are set out in a separate Statement of Work or Service Agreement signed by both parties. In the event of conflict, the Statement of Work takes precedence over these Terms.
3. Intellectual Property
All content on this Site, including text, graphics, logos, images, and software, is the property of Digitaso Media or its content suppliers and is protected by applicable intellectual property laws.
Upon full payment of fees, deliverables created exclusively for a client (such as website designs, ad creative, or brand assets) transfer to that client as specified in the applicable Service Agreement. Strategic frameworks, templates, and proprietary methodologies remain the property of Digitaso Media.
4. Confidentiality
Digitaso Media agrees to treat all client-provided business information, performance data, and strategies as confidential. Clients agree to keep proprietary methodologies, pricing, and internal processes of Digitaso Media confidential.
5. Payment Terms
Fees for services are set out in the applicable Service Agreement or invoice. Unless otherwise agreed:
- Invoices are due within 14 days of issue.
- Late payments may incur interest at 2% per month.
- Digitaso Media reserves the right to pause services if payments are more than 30 days overdue.
- All fees are exclusive of applicable taxes unless stated otherwise.
6. No Guarantee of Results
Digital marketing involves factors outside of Digitaso Media's control, including search engine algorithm changes, market conditions, and third-party platform policies. While we apply proven strategies and best practices, we cannot guarantee specific rankings, traffic levels, or revenue outcomes. Any projections shared are estimates only, not guarantees.
7. Limitation of Liability
To the maximum extent permitted by law, Digitaso Media's total liability to a client for any claim arising out of or related to these Terms or the services shall not exceed the total fees paid by that client in the three months preceding the claim. Digitaso Media shall not be liable for any indirect, incidental, special, or consequential damages.
8. Termination
Either party may terminate a service engagement with 30 days' written notice, unless otherwise specified in the Service Agreement. Upon termination, the client is responsible for payment of all work completed up to the termination date. Digitaso Media will deliver all completed deliverables and data in the client's ownership within 14 days of termination.
9. Acceptable Use
You agree not to use this Site or our services to:
- Violate any applicable law or regulation.
- Infringe upon the intellectual property rights of any party.
- Transmit spam, malware, or other harmful content.
- Misrepresent your identity or affiliation with any entity.
10. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
11. Changes to Terms
Digitaso Media may update these Terms at any time. We will post the updated Terms on this page with a revised "Last updated" date. Continued use of the Site or our services after changes constitutes your acceptance of the new Terms.
12. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through good-faith negotiation, and if necessary, binding arbitration or the courts of the applicable jurisdiction.
